2024 Eagles Autism Challenge

PLEASE REVIEW THIS AGREEMENT CAREFULLY. It includes important information and requirements you must comply with in order to participate in the Eagles Autism Challenge Bike Ride, 5k Run-Walk, and/or Sensory Walk (collectively, the “Event”), scheduled to take place on May 18, 2024.

By clicking "I AGREE" below, you acknowledge that you have read and understand and agree to the terms of this Agreement and agree to abide by it. Your ability to participate in the Event is subject to your acceptance of the terms of this Agreement. Each participant in the Event must complete an Agreement. DO NOT agree to this Agreement unless you have read and understand it in its entirety.

I wish to participate in the Event, which is hosted by Eagles Autism Challenge, Inc. (“Eagles Autism Challenge”). Therefore, for good and valuable consideration – including the right to participate in the Event – the receipt of which is hereby acknowledged, I agree as follows:

Registration Fees. I agree to pay the following non-refundable registration fee(s), as applicable: (a) $150.00 for any and all cycling segments of the Event, (b) $50.00 for the 5k Run-Walk and Sensory Walk segments of the Event, and/or (c) $25.00 to participate as a "Virtual Participant."

Fundraising Commitment. I understand and agree that, in addition to the non-refundable registration fee(s), I am committing to raise money for, or pay a certain amount of money to, Eagles Autism Challenge, which amount depends upon the particular segment of the Event for which I register (the "Fundraising Minimum").

The various Event segments and their corresponding Fundraising Minimums are as follows:

Fundraising Minimums for Cycling Segments (in addition to non-refundable $150 registration fee):

1. 30-Mile Bike Ride - $750.00

2. 10-Mile Bike Ride - $500.00

Fundraising Minimum for 5k Run-Walk and Sensory Walk Segments (in addition to non-refundable $50 registration fee):

• 5k Run-Walk - $350.00

• Sensory Walk - $350.00

Fundraising Minimum for Virtual Participant (in addition to non-refundable $25 registration fee):

• Virtual Participant - $350.00

Route mileages are all subject to change at any time in Eagles Autism Challenge’s sole and absolute discretion. In the event of a route mileage change, including without limitation if the Event is cancelled or becomes a virtual event, NO REFUNDS WILL BE PROVIDED, AND FUNDRAISING MINIMUMS WILL NOT BE ALTERED. I understand and agree that I cannot participate in more than one (1) segment. For more information on the various segments, please visit EaglesAutismChallenge.org.

Notwithstanding the Fundraising Minimums set forth above, I understand and agree that if I check the box that states "I commit to being an All Pro for Eagles Autism Challenge", I am irrevocably committing to a Fundraising Minimum of $2,500.00 ("All Pro Fundraising Minimum") and foregoing the Fundraising Minimums set forth above.

I understand that IF I DO NOT REACH MY FUNDRAISING MINIMUM OR ALL PRO FUNDRAISING MINIMUM, AS APPLICABLE, BY THE FUNDRAISING DEADLINE OF MAY 31, 2024 (“Fundraising Deadline”), I WILL BE PERSONALLY RESPONSIBLE FOR THE OUTSTANDING BALANCE REMAINING IN ORDER TO REACH MY FUNDRAISING MINIMUM OR ALL PRO FUNDRAISING MINIMUM, and I hereby expressly authorize Eagles Autism Challenge and/or its designees to charge the credit card I provide during Event registration in the amount of said outstanding balance at any time on or after June 1, 2024. In the event that my credit card is declined or a charge-back is issued, I will be personally liable for payment of the applicable outstanding balance and will not dispute, or otherwise attempt to dispute, said credit card charge unless I believe I can prove the charge does not accurately reflect the total amount of the outstanding balance I owe to satisfy my Fundraising Minimum or All Pro Fundraising Minimum. If I believe I can prove that the charge does not accurately reflect the amount I owe to reach my Fundraising Minimum, I will speak to an Eagles Autism Challenge representative before I initiate any formal activity to dispute or cancel the charge through my credit card company or bank. I will keep valid and effective credit card information on file at all times after I register for the Event and promptly respond to any request by Eagles Autism Challenge or its designee to update my credit card information. Even if I fail to keep valid and effective credit card information on file, I am still obligated to reach my Fundraising Minimum if there is an outstanding balance after the Fundraising Deadline has passed, and I will promptly respond to Eagles Autism Challenge’s request to satisfy any such outstanding balance.

IMPORTANT: Please note that applicable credit card charges will appear on your credit card statement as "Eagles Autism Challenge".

I understand that Eagles Autism Challenge may, in its sole discretion, relieve me of the Fundraising Minimums set forth above if I withdraw from the Event on or before 5:00 p.m. Eastern Time on March 15, 2024. However, I acknowledge and agree that: (a) any registration fee(s) is non-refundable, (b) the privilege to participate in the Event is non-transferable and will be revoked if any transfer or assignment is attempted or if this Agreement is otherwise breached, and (c) donations made by myself or third parties in connection with my Event registration will not be refunded in any circumstance.

Segment Change Requests. Any request to change segments, which includes any change from a participant’s original segment selection (i.e., Cycling to Run-Walk or Sensory Walk or changes in Cycling distances), will require the payment of a $25.00 processing fee and any difference in registration fee, but only if such request(s) can be accommodated. If a participant changes segments, he or she will be responsible for the Fundraising Minimum associated with the new segment, not the original segment selection. In no event will a participant’s original registration fee be refunded. I understand that: (a) there is no guarantee that the segment change request(s) will be granted, (b) all segment change requests will be processed at Eagles Autism Challenge’s sole discretion and are subject to availability, and (c) segments and the date(s) of the Event are subject to change and/or cancellation at the sole discretion of Eagles Autism Challenge. Any segment change request must be requested by calling (215) 339-6790 or emailing info@eaglesautismchallenge.org. No segment change requests will be permitted after 5:00 p.m. Eastern Time on April 1, 2024.

I HEREBY AFFIRM THAT I AM AT LEAST 18 YEARS OF AGE, AM OF SOUND MIND AND BODY, AND HAVE READ THIS AGREEMENT AND FULLY UNDERSTAND ITS TERMS. I FURTHER AFFIRM MY UNDERSTANDING THAT, BY CLICKING "I AGREE," I INTEND TO BE BOUND BY THIS AGREEMENT TO THE FULLEST EXTENT ALLOWED BY SUBSTANTIVE PENNSYLVANIA LAW, WHICH SHALL GOVERN THIS AGREEMENT, INCLUDING ITS INTERPRETATION AND ENFORCEMENT. I UNDERSTAND THAT THIS AGREEMENT IS IN ADDITION TO AND WILL NOT BE SUPERSEDED BY ANY OTHER AGREEMENTS I MAY ENTER INTO IN CONNECTION WITH THE EVENT, UNLESS SUCH OTHER AGREEMENTS EXPRESSLY AND UNAMBIGUOUSLY STATE THAT THEY SUPERSEDE THIS AGREEMENT.

BY CHECKING THIS BOX, I HEREBY GIVE THE ELECTRONIC EQUIVALENT OF MY SIGNATURE AND CONFIRM THAT I HAVE READ AND AGREE TO THE AGREEMENT AND AGREE TO PAY ANY CREDIT OR DEBIT CARD CHARGES MADE PURSUANT TO THIS AGREEMENT IN ACCORDANCE WITH THE TERMS OF ANY APPLICABLE CARDMEMBER AGREEMENTS.

In consideration of my participation and/or viewing and, if listed below, the participation and/or viewing of my children or the children on whose behalf I am signing this Waiver (my “Children”) in the Eagles Autism Challenge scheduled to be held on May 18, 2024 in Philadelphia, Pennsylvania and its surrounding areas (the “Event”) and, intending to be legally bound hereby:

1. I understand the Event involves physical activity and exertion and that there is a risk of injury or death by my Children’s and my participation in the Event. I further understand that there is a risk to personal property, including to my bike or other equipment used for the Event. I understand that I will be using public streets and facilities where many hazards may exist, which may lead to injury or death. I represent that my Children and I are in sound physical condition and are physically able to participate in the Event. Neither my Children nor I have any pre-existing injuries or conditions that present a risk of injury or aggravation by such participation in the Event. I ASSUME THE RISK, including the risk of injury, death or injury to property, of my Children’s and my participation in and/or viewing of the Event.

2. For myself individually, including my heirs, assigns and legal representatives, and for my Children in their individual capacity, and any of their heirs, assigns and legal representatives, I RELEASE FROM ANY AND ALL LIABILITY, WAIVE ALL CLAIMS, ACTIONS AND CAUSES OF ACTION WHICH I OR MY CHILDREN NOW HAVE OR MAY HEREAFTER HAVE AGAINST, AND AGREE NOT TO SUE Eagles Autism Challenge, Inc., Philadelphia Eagles, LLC, Philadelphia Eagles Limited Partnership, Eagles Stadium Operator, LLC, Eagles Stadium, Inc., Stadium Purchaser, LLC, Philadelphia Eagles Development, L.P., Philadelphia Eagles Development, Inc., Philadelphia Eagles, Inc., the City of Philadelphia, the Commonwealth of Pennsylvania, the Philadelphia Authority for Industrial Development, the Philadelphia Industrial Development Corporation, g4 Productions, LLC, and the respective subsidiaries and affiliates of each of the foregoing entities, and all of their respective direct and indirect, past, present and future officers, directors, members, managers, shareholders, affiliates, subsidiaries, partners, owners, agents, representatives, attorneys, employees, sponsors, beneficiaries, licensees, contractors, consultants, volunteers, successors and assigns (collectively, the “Released Parties”), FOR ANY CLAIMS, INCLUDING BUT NOT LIMITED TO ACCIDENTS, PERSONAL INJURIES OR DAMAGES TO PERSON OR PROPERTY THAT OCCUR WHILE WE ARE PRESENT AT THE EVENT, OR IN ANY WAY ARISE OUT OF THE PARTICIPATION OF AND/OR VIEWING OF THE EVENT, WHETHER OR NOT AND INCLUDING IF THE RELEASED PARTIES WERE NEGLIGENT, GROSSLY NEGLIGENT, RECKLESS OR OTHERWISE AT FAULT.

3. WAIVER OF CLAIMS RELATED TO COVID-19: I am aware that the novel coronavirus (“COVID-19”) has been declared a global health pandemic and that COVID-19 is a highly contagious disease that may cause serious physical symptoms, permanent disability, or death. Although the science is evolving, COVID-19 is believed to be spread through person-to-person contact, contact with contaminated surfaces, and potentially the air. I acknowledge that attending the Event presents a risk of exposure to COVID-19, and I agree to accept that risk. For myself individually and for my Children in their individual capacity, I RELEASE FROM ANY AND ALL LIABILITY, WAIVE ALL CLAIMS, ACTIONS AND CAUSES OF ACTION WHICH I OR MY CHILDREN NOW HAVE OR MAY HEREAFTER HAVE AGAINST, AND AGREE NOT TO SUE the Released Parties for harm that may occur due to exposure to COVID-19, WHETHER OR NOT AND INCLUDING IF THE RELEASED PARTIES WERE NEGLIGENT, GROSSLY NEGLIGENT, RECKLESS OR OTHERWISE AT FAULT.

4. AGREEMENT TO ARBITRATE AND CLASS-ACTION WAIVER: I agree that any dispute or claim related to my or my Children’s attendance at the Event or this Agreement and Release will be resolved by binding arbitration, rather than in court. I AGREE THAT I AM GIVING UP MY RIGHT TO FILE A LAWSUIT in court and instead of having my case decided by a judge or jury, my case will be decided by a neutral arbitrator who has the power to award damages. This agreement to arbitrate shall also apply to any minors for whom I am signing, and spouses, heirs, and others. Arbitration under this Agreement shall take place in Philadelphia, Pennsylvania and be conducted under the rules of the American Arbitration Association (AAA). In the event this paragraph is deemed invalid or unenforceable, I agree that any claim or controversy relating to the Event or this Agreement and Release will be resolved exclusively in a court located in the Commonwealth of Pennsylvania (and each party hereto waives any right to object to venue). I further agree that any claims and disputes must be resolved on an individual basis and not on a class basis.

5. For myself individually and for my Children in their individual capacity, I promise to (a) abide by all rules and regulations governing the Event, (b) abide by all local, state and federal laws during my or my Children’s participation in the Event, including all transportation laws and bicycling codes of Philadelphia, and (c) obey all instructions or directions from any staff, volunteers, state or local officials or any other person related to the Event. I understand and agree that if I fail, or if my Children fail, to do any of the foregoing, I or my Children, as applicable, may be prohibited from participating in the Event or ejected from the Event. I understand and agree to wear, or ensure my Children wear, a properly fitted and adjusted helmet during the Event at all times that I and/or my Children are on a bicycle and that if I or my Children bring any of the prohibited items listed on the following website to the Event I or my Children, as applicable, may be prohibited from participating in the Event: http://www.eaglesautismchallenge.org/faq. I acknowledge on behalf of myself and my Children that I and/or my Children and any of our belongings may be searched, and I consent to such search and waive any claim against the Released Parties in connection therewith, in each case, on behalf of myself and my Children.

6. I grant the Released Parties permission to use my Children’s and my name, photographs, voices and likeness for any and all promotional or commercial purposes without further compensation or notice. I agree that the Released Parties may tape and photograph me and my Children, and record our voices, conversation and sounds and that the Released Parties shall be the exclusive owner of the results and proceeds of such taping, photography and recording with the right, throughout the world, an unlimited number of times in perpetuity, to copyright, to use and to license others to use, in any manner, all of any portion thereof or of a reproduction thereof in connection with the Released Parties or otherwise. For purposes of clarity, I expressly waive any and all moral rights I or my Children may have in connection with the Event.

7. I acknowledge that should any portion or clause of this Release and Waiver of Liability (“Release”) be found to be unenforceable, that such a finding shall not have any effect on the enforceability of the remainder of the Release, and such finding shall be construed as narrowly as possible to effectuate the remaining terms of the Release.

8. I hereby certify that I am 18 years of age or older and:

• I am signing on behalf of myself only; or

• I represent that either I am the parent or legal guardian of the Children I have registered for the Event or I have been authorized by the parents or legal guardian of such Children to sign this Release on their behalf.

I AM AGREEING TO THIS RELEASE VOLUNTARILY, OF MY OWN FREE WILL, AND WITH THE INTENT TO BE LEGALLY BOUND UNDER THE LAWS OF THE COMMONWEALTH OF PENNSYLVANIA.

BY AGREEING TO THIS RELEASE, I UNDERSTAND THAT I AM AGREEING TO GIVE UP CERTAIN OF MY CHILDREN’S AND MY LEGAL RIGHTS.
